Company secretary requirement in Singapore
All companies are required to appoint a qualified company secretary within six months from its incorporation date. The company secretary is considered as officer of the company to ACRA. The appointed company secretary must be a resident of Singapore and will be acting as advisor to its shareholder and board.
As a company secretary, his or her main duties are securing the statutory compliance of the company. They have to make sure the paperwork of the company is in order and being filed on time. The company is required to notify company secretary if there is any change in director, shareholder, company secretary, share capital and etc. to effect the change. The respective company secretary will get the necessary resolutions done and keep register books and prepare minutes of meetings.
